Description of course content
This course offers an in-depth analysis of company law based on its functional and economic foundations in common law.
The course examines the legal strategies used by company law to organise corporate governance,
regulate relations between the various stakeholders and protect the interests of shareholders, managers and external stakeholders.
Particular attention is paid to the relationship between substantive rules, governance mechanisms and enforcement institutions.
